("PARTA" or the "Company"), experts in Social Media and Social Learning for businesses, is pleased to announce that it has completed the second tranche of its previously announced brokered private placement by issuing 2,280,000 common shares at a price of $0.25 per common share for gross proceeds of $570,000 (the "Offering"). Taking into consideration the first tranche of the private placement completed on March 8(th), Parta raised total gross proceeds of $2,905,000. The Offering was completed with the assistance of a syndicate of agents led by Industrial Alliance Securities Inc. and Byron Capital Markets Ltd. (collectively, the "Agents"), who received a cash commission equal to 8% of the gross proceeds of the Offering and compensation options equal to 8% of the common shares sold pursuant to the Offering, entitling them to purchase common shares of the Company at a price of $0.25 per common share, exercisable in whole or in part for a 24-month period. The common shares of the Company were issued in reliance upon exemptions from the prospectus and registration requirements of applicable Canadian securities legislation and will be subject to a hold period until August 12, 2012. Closing of the private placement is subject to final approval of the TSX Venture Exchange.
