Lithium Ionic Announces $15M Premium to Market Private Placement With Strategic Shareholders

Lithium Ionic Corp. (TSXV: LTH; OTCQX: LTHCF; FSE: H3N) (“Lithium
Ionic” or the “Company”) announces a non-brokered private placement
financing of 16,666,666 units (the “
Units”) at
$0.90 per Unit for gross proceeds of $15,000,000 (the
“
Offering”) with long-term strategic shareholders
of the Company that are supportive of the Company’s strategy to
become a near-term lithium producer in Brazil’s ‘Lithium Valley’, a
region of global significance for hard-rock lithium production.
Each Unit will be comprised of one common share
in the capital of the Company (each a “Common
Share”) and one-half of one Common Share purchase warrant
(each whole warrant, a “Warrant”). Each Warrant
will entitle the holder to purchase one Common Share at an exercise
price of $1.05 per Common Share for a period of 18 months following
the completion of the Offering. Securities issued under the
Offering are expected to carry a hold period of 4 months and one
day from the date of issue as may be required under applicable
securities laws.
The Company plans to use the aggregate net
proceeds of the Offering for exploration and development of its
Brazilian properties and general corporate purposes.

The Offering is scheduled to close on or about
June 7, 2024 and is subject to certain conditions including,
but not limited to, the receipt of all necessary approvals
including the approval of the TSX Venture Exchange
(“TSXV”).
