subsidiary companies (namely M&G Group Limited, M&G Investment Management
Limited and M&G Limited) are interested in 12,860,000 ordinary shares of 1p each
in the Company ("Ordinary Shares"), representing 13.21 per cent. of the
Company's total issued ordinary share capital. These Ordinary Shares are
