Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 11, 2010, Northeast Utilities (the Company) held its 2010 Annual Meeting of Shareholders. Two proposals were before the meeting: (1) the election of twelve nominees for Trustee to serve until the 2011 Annual Meeting of Shareholders and (2) the ratification of the selection of Deloitte & Touche LLP as the Companys independent auditors for 2010.
Only shareholders of record as of the close of business on March 15, 2010 were entitled to vote at the Annual Meeting. As of March 15, 2010, a total of 175,958,625 common shares of the Company were outstanding and entitled to vote at the 2010 Annual Meeting. At the 2010 Annual Meeting, 142,064,857 common shares of the Company were represented, in person or by proxy, constituting a quorum.
The shareholders elected all the Companys nominees for Trustee and ratified the selection of Deloitte & Touche LLP as the Companys independent auditors for 2010. The votes with respect to the proposals are set forth below.
