Eros International Plc (the “Company”) was unable to file its Annual Report on Form 20-F on a timely basis without unreasonable effort or expense because the Company requires additional time to finalize with its auditors their report on effectiveness of the Company’s internal controls over financial reporting as of March 31, 2019, which is being provided for the first time this year since the Company is no longer an emerging growth company. The Company anticipates that it will file the Form 20-F no later than the fifteenth calendar day following the prescribed filing date.
