( 1)	Shares withheld for the purpose of paying taxes incurred as a result of vesting of restricted shares.
( 2)	Includes 16,864 unvested shares of restricted stock.
( 3)	Each restricted stock unit represents a right to receive a cash payment equivalent to the fair market value of the common stock as of the date of vesting.
( 4)	The remaining restricted stock unit represents a right to receive a cash payment equivalent to the fair market value of the common stock as of the date of vesting.
( 5)	One half of the remaining stock appreciation rights became exercisable on March 2, 2012, and the remaining stock appreciation rights become exercisable on March 2, 2013.
( 6)	The stock options become exercisable to the extent of one-third on each of the above date, its first anniversary and its second anniversary.
