Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 1, 2021, Cantaloupe, Inc. (the “Company”) entered into a Separation and Transition Agreement with James Pollock (the “Separation Agreement”).  Pursuant to the Separation Agreement,  Mr. Pollock’s previously disclosed last day of employment was accelerated from July 20, 2021 to June 1, 2021. In exchange for a release of claims against the Company and for no longer receiving base salary payments through July 20, 2021, Mr. Pollock will remain eligible for his fiscal 2021 annual bonus based upon the achievement of the applicable performance metrics and using the same determination framework as will be used for similarly situated executives of the Company.
