EXPLANATORY NOTE

This Amendment No. 3 on Form 8-A/A amends and restates in its entirety the information set forth in Amendment No. 2 to the Registration Statement on Form 8-A previously filed by Mereo BioPharma Group plc (the “Company”) with the Securities and Exchange Commission (the “Commission”) on May 17, 2022.

Item 1. Description of Registrant’s Securities to be Registered.

The Company hereby incorporates by reference (a) the description of its ordinary shares, nominal value £0.003 per share (the “Ordinary Shares”) and (b) the description of its American Depositary Shares, each representing five Ordinary Shares (the “American Depositary Shares”), incorporated by reference to Exhibit 2.2 to the Company’s Annual Report on Form 20-F for the year ended December 31, 2022.The description of the Company’s Ordinary Shares is qualified in its entirety by reference to the Company’s new articles of association, filed as Exhibit 3.1 to the Company’s Report on Form 6-K filed with the Commission on December 18, 2023 and incorporated herein by reference. In addition, the above-referenced descriptions included in any prospectus forming a part of any Registration Statement and subsequently filed with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall be deemed to be incorporated by reference herein.
