Item
7.01 Regulation FD Disclosure.
On
September 18, 2020, Harbor Custom Development, Inc. (the “Company”) issued a press release announcing that it has
entered into a Purchase and Sale Agreement to acquire property currently under development for the construction of 36 townhomes
located in Bremerton, Washington for $1.5 million. Closing is expected to be on or before March 1, 2021. The Bremerton property,
also known as Mill’s Crossing, is located one block from the new Kitsap Transit Center, and less than ten minutes to the
Bremerton shipyards, the Kitsap Naval Base, and the Seattle Ferry.
A
copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
