Item 1.01 | Entry Into a Material Definitive Agreement. |
On May 6, 2022, Eyenovia,
Inc. (the “Company”) entered into a third amendment (the “Amendment”) to the Loan and Security Agreement with
Silicon Valley Bank, dated as of May 7, 2021, as amended on September 29, 2021 and October 15, 2021 (collectively, the “Loan Agreement”).
Pursuant to the Amendment, the repayment term of the Loan Agreement has been reduced to 24 consecutive calendar months from 36 consecutive
calendar months, and the date that the first payment under the Loan Agreement is due by the Company has been extended to June 1, 2023
from June 1, 2022.

hereto as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
On May 11, 2022, the Company’s
Board of Directors approved Stock Ownership Guidelines that are applicable to its non-employee members of the Board. The Stock Ownership
Guidelines are attached hereto as Exhibit 99.1.
