Country & Metropolitan plc ("the Company") received a letter dated 24 November
2003  pursuant to section 198 of the Companies Act 1985, informing it that JPMF
UK Smaller  Companies Fund Plc no longer has a notifiable interest in the
capital of the Company.  The reduction in the percentage holding arose as a
result of the increase in the  Company's issued share capital following the
Placing and Open Offer announced on  22 October 2003.
