(1)  These shares were distributed to Three Heads Investment S.R.L. in a corporate division transaction effected by SOFAR S.P.A. The reporting person is the sole director of Three Heads Investment S.R.L., and remains the CEO of SOFAR S.P.A. The reporting person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
