Entry into a Material Definitive Agreement.
|
On May 3, 2019,
AgEagle Aerial Systems Inc. (the “
Company
”), entered into a Consulting Agreement with GreenBlock Capital LLC
(“Consultant”), to serve as strategic advisor and consultant to the Company with respect to the development of business
opportunities and the implementation of business strategies to be agreed to by both parties (the “
Services
”).
The extent of the Services will be set forth in separate scopes of work, from time to time, to be prepared and mutually
agreed to by the parties. As compensation for the Services under the terms of the agreement, Consultant shall receive (i)
$25,000 per month during the term of the agreement, (ii) 500,000 shares of restricted stock upon execution of the agreement, and
(iii) up to 2,500,000 shares of restricted stock upon the achievement of to-be-determined milestones.
The Consultant was previously
engaged by the Company between March 2015 and August 2016 to provide consulting services. The Consultant beneficially owns approximately
5.86% of the shares of the Company’s common stock issued and outstanding shares, and holds options to purchase 207,055 shares
of the Company’s common stock, exercisable until January 14, 2021 at an exercise price of $0.06 per share.
