in May 2022. CEO Pay Ratio We have estimated the ratio between our
2022 Chief Executive Officer’s total compensation and the median
annual total compensation of all employees (except the Chief
Executive Officer). In searching for the median employee we
considered taxable compensation totals in 2022. We identified the
“Median Employee” based on the taxable compensation of all active
full-time and part-time employees employed by us on December 31,
2022 (annualizing salaries for hires made mid-year), then we
calculated the Median Employee’s compensation under the Summary
Compensation Table rules. Our Chief Executive Officer had annual
total compensation in 2022 of four million, eleven thousand and
ninety four dollars ($4,011,094) and our Median Employee had annual
total compensation of fifty-five thousand, one hundred and fifty
dollars ($55,150). Therefore, we estimate that our Chief Executive
Officer’s annual total compensation in 2022 is seventy-three (73)
times that of the median of the annual total compensation of all of
our employees.
