Item 3.01 Notice of Delisting or Failure To Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On January 2, 2024, Remark Holdings, Inc. (“we” or “our”) notified The Nasdaq Stock Market (“Nasdaq”) that we had attempted to hold our 2023 annual meeting of stockholders on December 6, 2023, and December 29, 2023, but we were unable to achieve a quorum to conduct the business of the meeting on those dates. As a result, we did not hold a shareholder meeting within 12 months of the end of our fiscal year ended December 31, 2022 as required by Nasdaq Rule 5620(a). We again attempted to hold the meeting on January 8, 2024, but were unable to achieve quorum and had to adjourn the meeting without being able to conduct business. We will hold a stockholder meeting as soon as practicable and will provide public notice of such meeting.
