Entry Into A Material Definitive Agreement.

On August 8, 2023, DarkPulse, Inc., a Delaware corporation (the “Company”) entered into Amendment No. 1 to the Business Combination Agreement with Global System Dynamics, Inc., a Delaware corporation (“GSD”), and Zilla Acquisition Corp., a Delaware corporation and wholly-owned subsidiary of GSD (“Zilla”), pursuant to which the “Termination Date,” as defined in the Business Combination Agreement dated December 14, 2022 by, between, and among the Company, GSD, and Zilla (the “BCA”) was amended from “August 9, 2023” to “February 9, 2024.” No other changes were made to the BCA.
