PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F,
11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
High Sierra Technologies, Inc. (the “Company”) has determined
that it is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2023 (the “Form 10-Q”) by August
14, 2023, the original due date for such filing, without unreasonable effort or expense because it requires additional time to complete
its financial statements. This delay principally relates to the fact that the Company’s Chief Financial Officer is unavailable during
the period of August 11, 2023 to August 15, 2023 to complete his review of the financial statements for the period ended June 30, 2023
due to personal reasons related to his wife’s medical condition. The Company expects to file the Form 10-Q no later than the fifth
calendar day following the prescribed filing date.

The Company anticipates reporting a net loss of approximately
$96,004 for the quarter ended June 30, 2023 compared to a net loss of $51,887 reported for the quarter ended June 30, 2022.
