Item 2.02
Results of Operations and Financial Condition.
On March 30, 2023, Duos Technologies Group, Inc.
(the "Company") issued a press release announcing the financial and operating results of the Company for the fourth quarter
(“Q4 2022”) and full year ended December 31, 2022. The text of the press release is furnished as Exhibit 99.1 and
incorporated herein by reference.
Additionally,
on March 30, 2023, the Company held an earnings phone call open to the public (the "Earnings Call"). Mr. Chuck Ferry, the
Company's Chief Executive Officer, and Mr. Andrew W. Murphy, the
Company’s Chief Financial Officer, discussed the financial and operating results of the Company for Q4 2022 and
the full year ended December 31, 2022. The transcript of the Earnings Call is furnished as
Exhibit 99.2 and incorporated herein by reference.
