I don't understand how Jake P Noch can be a composer member of both BMI and a composer member of PRO Music Rights Inc as the BMI rules are very clear "each songwriter or composer may belong to only one performing right organization at any given time, so each PRO licenses a unique repertoire of music."

One full month has now nearly passed since you were approinted as the IR and we are still waiting for answers.

We have seen the SONG share price continue plummeting a further 80% to 0.0175 from 0.1 when you were appointed just a month ago continuing the downward trend that led to the earlier 5000,000 : 1 reverse split despite all the new PR hype about buying minority music rights in works that happen to have been recorded by famous artists 

When is the company or you going to answer the funadamental questions raised on this and other forums about the both the high level of debt building up on the company balance sheet and about the potentially flawed PRO music rights business model ? 

To simply cover the $12m annual salary being claimed by the CEO would require $120m of new investment in new music IP rights yielding say 10% per annum before ordinary shareholders would even start to see a single cent of that income. Hence the  company would probably need to raise closer to $240m if it was relying on buying assets from websites such as royalty exchange as its core business model before ordinary shareholders could start to expect even a 5% yield once the debt that already built up on the company balance sheet and the CEO salary has been paid 

Why would investors buy SONG shares and not just buy music or other royalty rights direct themselves from sites such as royalty exchange without the $12 million per annum admin costs of the SONG CEO?

Re: Gambling Licenses, you don't even have to be a serial OTC conman. All you have to do is just say a few of the wrong things, depending on the state.

Quick Summary:

1) CEO who is willing to commit fraud and violate securities law
2) Lawyer who is willing to larp as a securities attorney to help
3) Court system unwilling to be educated in the law
4) TA unwilling to enforce their requirement to identify and stop this
5) SEC which is too slow to get involved in time to slow Jakey's roll
6) IR team willing to cover up and poo poo the fraud they've now seen and read the supporting documentation

Not a lot of to respect here...

You have to remember the SEC is punitive, not preventative. I have confirmation what he's doing is in fact illegal, but the SEC isn't going to stop him just to stop him. They build a big case, see if the DOJ is interested in criminal, etc. then they take action after internal review. This allows scammers to continue, sometimes for years. It's a terrible system.

My preference would be preventative, where when something is clearly illegal they at least send C&D letters and inform everyone involved. But then they risk the punitive part. They always protect the punitive part, sacrificing preventing victims.

Their thought process is, the results of these should keep securities lawyers, TAs, brokers, etc from allowing it to happen. The issue is that Jakey isn't using a securities attorney, he's using someone with no background in this law willing to create legal fiction to keep a client. The TA was granted indemnity by the company (so they think, they are in for a rude awakening) so they dont care.

When all is said and done, they're all f'd. But for now we get to watch Jake just make it worse for himself.

Jake must be assuming that the probability is low that former SONG shareholders, artists or customers would be on any panel determining whether the proposed casino is run by a fit and proper person 

Something is very wrong with our society where the authorities allow pump and dump schemes to continue without prompt action being taken against everyone who helps facilitates such schemes even after being shown the devastating impact the scheme has had and continues to have on innocent third parties
