Explanatory Note:

 

The Registrant has initiated the process of closing a subsidiary, Zhejiang Babiku Charcoal Co., Ltd. (“Babiku Charcoal”), by applying for dissolution at the local administration of industry and commerce. Babiku Charcoal was incorporated on November 17, 2015 in China. Its dissolution notice period is from September 14, 2018 to October 29, 2018. After the dissolution notice period ends, the Registrant will be obligated to conduct the dissolution process of Babiku Charcoal by November 28, 2018 at the local administration of industry and commerce.
