Previous Independent Registered Public Accounting Firm
On
May 21, 2018, EKS&H, LLLP (EKS&H) informed the Audit Committee of the Board of Directors of Where Food Comes From, Inc.
(the Company) that it declined to stand for reappointment as the Company’s independent registered public accounting firm.
The
reports of EKS&H on the Company’s consolidated financial statements as of and for the fiscal years ended December 31,
2016 and December 31, 2017 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as
to uncertainty, audit scope or accounting principles.
During
the Company’s two most recent fiscal years ended December 31, 2016 and 2017, and for the subsequent period through May 21,
2018, there were no disagreements with EKS&H on any matter of accounting principles or practices, financial statement disclosure,
or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of EKS&H, would have caused EKS&H
to make reference to the subject matter of the disagreements in connection with its reports on the financial statements for such
years. Additionally, there were no reportable events, as defined in Item 304(a)(1)(v) of Regulation S-K.
The
Company has requested that EKS&H furnish it with a letter addressed to the Securities and Exchange Commission (the SEC) stating
that it agrees with the above statements. A copy of such letter dated May 24, 2018 is attached hereto as Exhibit 16.1.
Item
