Changes in Registrant’s Certifying Accountant

, the Audit Committee of the Board of Directors (the “Audit Committee”) of Energy Recovery, Inc. (the “Company”) approved the appointment of Deloitte & Touche LLP (“Deloitte”) as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2018. In addition, on
April 11, 2018
, in connection with its selection of Deloitte, the Audit Committee approved the dismissal of BDO USA, LLP (“BDO”), the Company’s former independent registered public accounting firm.
The reports of BDO on the Company’s financial statements for each of the two fiscal years ended December 31, 2016 and 2017 did not contain an adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the fiscal years ended December 31, 2016 and 2017 and the subsequent interim period through

, there were no disagreements, within the meaning of Item 304(a)(1)(iv) of Regulation S-K, with BDO on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures which, if not resolved to the satisfaction of BDO, would have caused BDO to make reference to the subject matter of the disagreement in its reports.
