SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS

On September 1, 2017, Alliance MMA, Inc. (the “Company”)
held its Annual Meeting of Stockholders (the “2017 Annual Meeting”). The matters voted upon were (1) the re-election
of the Board of Directors including Paul K. Danner, III, Joseph Gamberale, Renzo Gracie, Mark Shefts, Joel D. Tracy, and Burt A.
Watson, (2) the ratification of the appointment of Friedman LLP as the Company’s independent registered public accounting
firm for the year ending December 31, 2017, and (3) the approval of the Alliance MMA, Inc. Amended and Restated 2016 Equity Incentive
Plan.
Based on the votes by holders of common stock in the Company,
the final results for each proposal presented to stockholders at the 2017 Annual Meeting are set forth below:
