WHITE YOUNG GREEN PLC - ASSOCIATED COMPANY DISPOSAL AND TRADING UPDATE
White Young Green Plc and Henry Riley & Son are 50:50 shareholders in a joint
venture, RGCM (Holdings) Limited ("RGCM") which is involved in the provision
of construction management services.
On 18th June 1997 White Young Green Plc (formerly Ernest Green and Partners
Holdings Plc) announced that agreement in principle had been reached for a
management buyout of RGCM by the three principal executives of RGCM.
On 6th February 1998 an agreement was completed for the sale of RGCM to the
management team for #250,000 to be satisfied in cash through four equal six
monthly instalments of which #125,000 is receivable by White Young Green Plc.
The purchasers will acquire a 25% tranche of the issued share capital of RGCM
at the time of payment of each instalment with the first instalment paid on
6th February 1998.
RGCM contributed profits before tax of #497,000 for the year ended 30th June
1997. The net assets of RGCM as at 30th June 1997 were #18,075.
At the AGM on 2nd December 1997, the Chairman stated that White Young Green
was trading ahead of expectations in a buoyant UK construction market. Cost
savings from bringing together Ernest Green and White Young in July 1997 were
being enjoyed and that the expanded Group was now offering a much wider range
of services with higher fee levels.
The Board is pleased to announce that good progress has continued to be made
in buoyant markets. The interim results for the six months ended 31st
December 1997, which are expected to be released on Wednesday 15th April 1998,
and the level of current trading, lead the Board to believe that the outcome
for the year ended 30th June 1998 will be comfortably in line with market
expectations.
