Result of Second General Meeting
Further to the announcement made on 30 October 2015 regarding
proposals for the reconstruction and winding up of The Cayenne
Trust PLC (the "Company"), the Directors are pleased to announce
that the special resolution putting the Company into liquidation
and giving final effect to the proposals was duly passed at the
Second General Meeting held earlier today.
Under the terms of the Scheme, the net asset value of an
ordinary share in the capital of the Company calculated in
accordance with the Scheme as at 5.00 p.m. on 25 November 2015 was
158.46 pence (after the deduction of Scheme costs and the
Liquidation Pool).
The issue prices for the MPT Income Shares and the MPT Growth
Shares calculated in accordance with the Scheme are 116.65p and
151.00p, respectively. This reflects a premium of 0.85% to the
respective NAVs of the MPT Income Shares and MPT Growth Shares as
at 5pm on 25 November 2015.
As a result of elections received from the Company's
shareholders, as announced on 26 November 2015, Shareholders who
elected for the Rollover Option will receive the following:
-- 6,020,099 MPT Income Shares will be issued by MPT; and
-- 3,887,194 MPT Growth Shares will be issued by MPT.
