TRIESTE ACQUISITIONS HOLDING LIMITED ("BIDCO")
to be effected
by way of a scheme of arrangement
under Part 26 of the Companies Act 2006
Adjournment and reconvening of Court Meeting and General
Meeting
On 25 May 2021, the boards of Telit and Bidco announced the
terms of a recommended cash offer made by Bidco for the entire
issued and to be issued ordinary share capital of Telit other than
the Telit Shares held by funds managed by DBAY (the "Acquisition"),
intended to be effected by means of a court-sanctioned scheme of
arrangement under Part 26 of the Companies Act 2006 (the
"Scheme").
The scheme document containing, among other things, the full
terms and conditions of the Acquisition, the notices of the Court
Meeting and General Meeting, each convened for 14 July 2021, and
details of the actions to be taken by Telit Shareholders, was
published on 18 June 2021 (the "Scheme Document").
Capitalised terms defined in the Scheme Document have the same
meanings given in this announcement, a copy of which is available
on Telit's website at:

Having spoken to certain Telit Shareholders, Bidco has requested
that the Board of Telit adjourns the Court Meeting and the General
Meeting in order to facilitate further discussions with such
shareholders. The Telit Directors have agreed to grant this request
to ensure that these further discussions with Telit Shareholders
can take place and to allow all Telit Shareholders more time to
fully consider the terms of the Cash Offer and the Alternative
Offer.
The Telit Board intends to adjourn the Court Meeting and the
General Meeting relating to the Scheme so as to be held on 28 July
2021 at 10.00 a.m. and 10.15 a.m. (or as soon thereafter as the
Court Meeting concludes or is adjourned) respectively at the
offices of CMS Cameron McKenna Nabarro Olswang LLP, at Cannon
Place, 78 Cannon Street, London, EC4N 6AF. Forms of Proxy in
respect of the Court Meeting and the General Meeting should
therefore now be returned so as to be received as soon as possible
and in any event not later than:
-- 10.00 a.m. on 26 July 2021 in respect of the Court Meeting; and
-- 10.15 a.m. on 26 July 2021 in respect of the General Meeting.
The Election Return Time to submit elections for the Alternative
Offer will be extended and will now be 11:00 a.m. on 29 July
2021.
Telit Shareholders who have already submitted Forms of Proxy for
the Court Meeting and the General Meeting and do not wish to change
their voting instructions, need take no further action as their
Forms of Proxy will continue to be valid in respect of the Court
Meeting and the General Meeting.
Telit Shareholders who have submitted Forms of Proxy for the
Court Meeting and/or the General Meeting and who now wish to change
their voting instructions, should contact Link Group on +44 (0) 371

Telit Shareholders are also reminded that completion and return
of a Form of Proxy, or the appointment of a proxy electronically
using CREST, will not prevent them from voting at the Court Meeting
or the General Meeting either in person or via the Virtual Meeting
Platform. Please refer to the Scheme Document and the Virtual
Meeting Guide for further information.
Reconfirmation of unanimous recommendation regarding Acquisition
and Cash Offer
The Telit Directors continue to believe that the Acquisition is
in the best interests of Telit Shareholders as a whole and
reconfirm their unanimous recommendation that Telit Shareholders
vote or procure votes in favour of the Scheme at the Court Meeting
and the Special Resolution to be proposed at the General Meeting
(or, in the event that the Acquisition is implemented by way of a
Takeover Offer, to accept or procure acceptance of the Takeover
Offer).
Alternative Offer
In relation to the Alternative Offer and for the reasons set out
in paragraph 4 of Part 1 of the Scheme Document, together with risk
factors and other investment considerations set out in paragraph 5
of Part 5 of the Scheme Document, the Telit Directors cannot form
an opinion as to whether or not the terms of the Alternative Offer
are fair and reasonable and reconfirm that they are not making any
recommendation or giving any advice to Scheme Shareholders as to
whether or not they should elect for the Alternative Offer. Scheme
Shareholders are strongly recommended to take into account the
disadvantages and advantages highlighted above, as well as their
individual circumstances, when deciding whether or not to elect for
the Alternative Offer in respect of their holding of Scheme
Shares.
The Telit Directors reconfirm their strong recommendation that,
in deciding whether or not to elect for the Alternative Offer, the
Telit Shareholders should take their own independent financial,
legal and tax advice and consider carefully the disadvantages and
advantages of electing for the Alternative Offer (including, but
not limited to, those set out in paragraph 5 of Part 5 of the
Scheme Document) in light of their own financial circumstances and
investment objectives.
Timetable update
An updated expected timetable for the Acquisition is accordingly
set out below. All times shown are London times unless otherwise
stated.

( (1) The blue Forms of Proxy for the Court Meeting should
be received by Link Group before 10:00 a.m. on 26 July 2021,
or, if the Court Meeting is adjourned, not later than 48 hours
before the time fixed for the holding of the adjourned meeting
(excluding any part of a day that is not a working day). Blue
Forms of Proxy not so received may be emailed after that time
to post_proxy_deadline_court_votes@linkgroup.co.uk before the
commencement of the Court Meeting and will still be valid.
( (2) The white Forms of Proxy for the General Meeting must
be lodged with Link Group before 10:15 a.m. on 26 July 2021
in order for it to be valid, or, if the General Meeting is adjourned,
not later than 48 hours before the time fixed for the holding
of the adjourned meeting (excluding any part of a day that is
not a working day). White Forms of Proxy cannot be emailed after
that time to Link Group.
( (3) If a Meeting is adjourned, only those Scheme Shareholders
(in the case of the Court Meeting) and Telit Shareholders (in
the case of the General Meeting) on the register of members
of Telit at 6:00 p.m. on the day which is two days before the
adjourned meeting (excluding any part of a day that is not a
working day) will be entitled to attend and vote at such adjourned
Meeting.
( (4) To commence at the time fixed or, if later, immediately
after the conclusion or adjournment of the Court Meeting.
( (5) Or such later time (if any) to which the right to make
an election may be extended by Bidco.
With the exception of the above events, times and dates, the
expected timetable of principal events for the implementation of
the Scheme remains as set out on page 10 of the Scheme
Document.

Additional information for US investors
The Acquisition relates to the shares of a UK company and is
being made by means of a scheme of arrangement provided for under
the laws of England and Wales. A transaction effected by means of a
scheme of arrangement is not subject to the proxy solicitation or
tender offer rules under the Exchange Act and is exempt from the
registration requirements of the Securities Act. Accordingly, the
Acquisition will be subject to disclosure requirements and
practices applicable in the UK and to schemes of arrangement under
the laws of England and Wales, which are different from the
disclosure and other requirements applicable to a US tender offer.

By electing receipt of the Consideration Loan Notes pursuant to
the Alternative Offer, Telit Shareholders will be deemed to
represent and warrant, on behalf of themselves and any person on
whose behalf they beneficially hold their Telit Shares, that they:
(i) are not located or resident in the United States or otherwise a
US Person; and (ii) are not electing receipt of Telit Shares
pursuant to the Alternative Offer with a view to, or for offer or
sale of Consideration Loan Notes in connection with, any
distribution thereof (within the meaning of the Securities Act) in
the United States or to US Persons.
The receipt of cash consideration pursuant to the Cash Offer by
a US holder of Telit Shares as consideration for the transfer of
its Scheme Shares pursuant to the Scheme may be a taxable
