Exercise of Warrant & Issue of Equity

Sealand Capital Galaxy Limited ("Sealand" or "the Company") announces that it has received a notice of exercise of warrant over 5,780,346 new ordinary shares of GBP0.0001 each in the share capital of the Company

(the "Warrant Shares") at a price of GBP0.004325   per share, which was granted on 14 January 2020.

Accordingly, the Company has today issued the Warrant Shares to the warrant holder for an aggregate cash consideration of GBP25,000 .

Application will be made for the Warrant Shares to be listed on the main market of the London Stock Exchange as soon as is practicable. The Warrant Shares will rank pari passu in all respects with the existing issued ordinary shares of GBP0.0001 each in the capital of the Company.

Total voting rights

Following the issue of the Warrant Shares, the total issued share capital of the Company will consist of 509,830,346 ordinary shares of GBP0.0001 each carrying the right to one vote. There are no shares currently held in treasury. The total number of voting rights in the Company will therefore be 509,830,346 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Rules and Transparency Rules.
