                         ("Reed Health" or the "Group")

                      Renegotiation of Trade Mark Licence

Reed Executive plc ("Reed Executive") has given Reed Health Group plc ("Reed
Health") notice of termination of the Trade Mark Licence Agreement dated 7 May
2001 ("the Existing Licence"), granted at the time of Reed Health's demerger
from Reed Executive plc. Accordingly, the Existing Licence will expire at the
end of its initial term on 7 May 2006. The Existing Licence governs the terms
under which Reed Health may use the Reed brand. At present Reed Health are not
subject to any brand licence fees.

A new licence agreement is currently being discussed between Reed Executive and
Reed Health. Any new agreement or variation of the Existing Licence may be a
related party transaction and if so would require shareholder approval.

In parallel to the above discussions Reed Health management are evaluating the
opportunities and implications of operating under alternative branding.
