   On 8th April 2016, connected persons (as defined by Schedule 11B of the 
Financial Services and Markets Act 2000) of a PDMR, Andrew Morris, 
received 1,080 Rathbone Brothers Plc ordinary shares by way of a gift to 
his children. These shares were subsequently sold on 11th April 2016 at 
GBP20.40 per share. 
 
   Mr Morris's shareholding in the Company therefore remains unchanged at 
55,172 ordinary shares representing 0.115% of the total voting rights of 
the Company.
