                Completion of Acquisition of Carillion Housing


The Board of Morgan Sindall is pleased to announce that it has completed the
acquisition of Carillion Housing, the refurbishment specialist in affordable
housing. The consideration for the transaction is #6.25 million, financed from
existing cash resources.

This acquisition creates the UK's largest affordable housing company and will
considerably enhance the development and growth targets of Lovell, Morgan
Sindall's affordable housing subsidiary.
