im not sure who would jump in and pour $700 mil into a failed company, that had what you described as decent management, that was in a fcev truck business that many are fleeing from and cutting their losses...and thats on both the company side, investor side and customer side...

someone may purchase the AZ facility to try and make a go of bev trucks...but i seriously doubt anyone will attempt to make fcev trucks...

yes this is what I hope will happen so the business of building Hydrogen fuel cell powered trucks can continue.
I woudl expect preferred shareholders to get something for the assets and as you say the buyer will commit $500-700m to fund the completion of FCEV2.0 and securing national roll outs

From where I sit - and my experience

NKLA may now find a buyer for the entire company. That may be the case as the 11 declaration shows buyers that the debt side of the balance sheet is up for grabs. As to current common stock - IMO - it is worthless as any buyer will not leave those shares as legitimate owners of any part of NKLA 2

As the operations - as NKLA 2 - require say 500MM or 700MM to fill deficits over the coming months - until NKLA 2 is cash breakeven - the selling price might be close to zero.

How can this happen? Those holding debt must be offered by someone or something ownership in a viable new NKLA 2. The Debtholders then have to decide they prefer this offer. Their alternative - as debt holds the cards is they get their pro rata tiered share of cash from selling parts. So for example assume selling parts could get get most debt holders 25 cents on the dollar (fast look). A new NKLA 2 offer by a buyer to debt holders would have to have of a promise from a buyer of enough cash investment into AZ going forward to get it profitable

Again - as example - one offer may be 25 cents on the dollar and the other offer is equity in a company that has a fair/good chance of making money - down the road with a BIG IF. The majority (??) of the Debt Holders will make that decision

did you even read the article??...nkla has been trying to sell itself for months...they have have a number of interested parties take a gander...ALL have walked away...

nkla tried to get financing from a number of institutions...they all took a look and walked away...

now that they are in BK, a few want to see if they can get nkla for pennies on the dollar...meaning, a FEW pennies...

nkla dropped 14% today...they ended the day at the bottom pps, 38 cents...after hours they dropped to 30 cents....

nkla themselves say they have $500 mil to one billion in assets but owe $1 bil...how much money would you bid for a company that is essentially worth zero?...or how much would you bid to buy someone else's debt?...

nkla was a 35 dollar stock 10 months ago...it has tanked ever since...all the way to 41 cents....if it wasnt for a r/s back in June, the pps would be one freakin penny today...

to explain the paper I owned was a bond - and the interest was not in % - but I think 10% after date X if the DOW was over ABC price on that date . These securities did not trade and fit in the category of structured products (not in an annuity)

I was in the profit and 30% above the DOW level that would have made me lose money

But LEHMAN Went under

And I learned the hard way that UNSECURED but SR BONDS are not 100% repaid on 11

Lots of lessons and BIG WINS over 25 or whatever years with small parts of my money (GM Preferred Stock the Day the UNION said it wanted to trade them for immediate cash and give up that % of ownership in the reorg on the table)

maybe the question is

Is NKLA - say mostly debt free - worth more as a whole company or worth more as parts?

Frankly - other then DEBTORS themselves - I am not sure any company or hedge fund could buy NKLA the company as debtors would scream - rightfully

I think someone could organize say the top 5 debtors and work with them to OWN 100% of NKLA via trading debt for equity -------- if such equity is worth more than say 35 cents on the dollar of debt (just a guess as to the cash that selling parts can raise - divided among the top level debtors

I owned derivative products (semi bets on position of dow) that were in the money

Lehman went 11

The products were in essence the same level as UNSECURED but SENIOR DEBT

Over 24 months I got back about 70 cents on the dollar -- little by little

That was SR DEBT ----- equity went to zero

Are you saying that AFTER the 11 FILING (not just a PR if that is all NKLA still is) that its stock traded - as high as $4. Not sure who would buy LEHMAN but owning old equity common shares would not bring a penny if some BIG banks bought it out of 11 ??

there was a whisper that musk was going to buy nkla...that caused a huge spike just before they declared bankruptcy...many shareholders were able to get out with a little something...speculators were left holding the bag...

i believe in the filing they already said they were going to break up the company and sell the pieces...my guess is, they already tested the market to see if anyone would offer enough money for the company as a whole...they came to the conclusion that there was far more value selling off the pieces than the company as a whole...and the debt holders will want all they can get...they dont care about nkla as a company...

I remember Lehman brothers - I had bought puts at $15 or so
sold on day of filing at near $0
then bought calls as it bounced for 2-3 days to $4 (may have been higher) as rumors of a buyer went around.

In this case I am not sure except the filing suggest to me there is someone read to buy the debt free company. it only takes may be $500m to get a fully built factory (12,000 a year) well received BEV and FCEV, v2 in progress that is cost competitive (gross profit per vehicle if made in right volume) and national accounts begging to buy more.

So may be there is a whisper the stock may not get terminated like Lehman did. but come out of chapter 11

And the stock continues to trade and today is in the green ?

Are you suggesting that shorts need to "cover" (own the stock they shorted - visibly) ?

That often can be the case at extreme low prices --- but NKLA has declared bankruptcy and I can not imagine anyone ever looking into those who shorted a company that went 11

(or maybe at 45 cents a share - buying to "cover and close" is a cheap insurance policy to avoid any problems - especially for those who shorted at post RS at 25 and 15 and such

YET -- it does baffle me that the stock is trading at all

I do not disagree

Since I got used to this stock - I would like to see CH11 end with a new version of NKLA without debt as the debtholders would not sell of the parts but instead take equity and own a new debt free NKLA

Current Equity worth 0 (and I have no idea who is buying it now at 47 cents and 86 Million Shares (which is sort of the normative outstanding total !!)

NKLA has announced it will sell itself in parts

NKLA is 500MM cash on hand from anything

CH11 belongs to bond holders - who have not converted their bonds to stock and sold that a while ago

CH 11 bond holders may take some of the cash owed to them as THE equity in a new NKLA 2.0 --- but best I understand - if they do not want to do that - then the curtain falls as DEBT is king now

That does not mean NKLA with its plant does not become a sub of some company or become owned privately - for a while - by a hedge fund
