ADVISES ASPEN CLEAN FUELS LIMITED ON ITS REVERSE TAKEOVER BY SHIELD CAPITAL plc



Libertas Capital Group plc (AIM: LBR) ("Libertas Capital" or "the Company"), the
financial services firm, is pleased to announce that Aspen Clean Fuels Limited
("ACF"), a company 37.7% owned by its wholly owned subsidiary Libertas Capital
Ventures Limited ("LCV"), has formally agreed terms for a reverse takeover by
Shield Capital plc, to be renamed Aspen Clean Energy plc ("Shield"). Libertas
Capital acted as financial adviser to ACF.



ACF was established in May 2005 to acquire the entire issued share capital of
Aspen Invest AB ("Aspen"), a market leader for alkylate fuel, an
environmentally-adapted fuel for use in small, motorised tools such as
chainsaws, lawnmowers and other two-stroke and four-stroke engines. Aspen is
based in Sweden and has sales into some 13 European markets.



ACF has been acquired by Shield in a share for share exchange for a
consideration of #14.31 million to be satisfied by the issue of 143,100,000
Consideration Shares at 10p per share. The acquisition is classified as a
reverse takeover under the AIM rules and is subject, inter alia, to shareholder
approval at an Extraordinary General Meeting. It is expected that dealings on
AIM in Shield's shares will commence on or around 15th December 2005.



On Admission, Shield's enlarged issued share capital will comprise 169,450,000
ordinary shares; at the same time Shield will change its name to Aspen Clean
Energy plc in order to reflect its new activities. A consequence of the
acquisition is that Libertas Capital will own 54 million shares (31.9%) of the
enlarged issued share capital of Shield.



Commenting on the announcement, Jakob Kinde, Executive Chairman of Libertas
