Sandler Capital Management

AMENDMENT - The purpose of this Amendment, and another that is being filed
simultaneously herewith, is to separate the two dealings that were disclosed in
a single Form 8.3 that was originally filed on 25 October 2007, and amended on 2
November 2007 to correct a typographical error.
