    Publication of prospectus and circular

    Further to the announcement made by Standard Life UK Smaller Companies Trust plc (the "Company") on 10 November 2008, the Company
yesterday published a prospectus (the "Prospectus") and a circular (the "Circular") to shareholders in connection with the issue of up to
100 million new Continuation Shares of 75p each in the Company in consideration for the acquisition of assets from Gartmore Smaller
Companies Trust p.l.c. ("Gartmore Smaller") as part of a section 110 reconstruction and liquidation of Gartmore Smaller (the "Scheme").  

    The Circular convenes an extraordinary general meeting of the Company to be held at 10.30 a.m. on 26 January 2009 at 1 George Street,
Edinburgh EH2 2LL at which a special resolution will be proposed to approve the Company's participation in the Scheme, to increase the
authorised share capital of the Company by the creation of 100 million new Continuation Shares, to authorise the directors to allot such
shares in connection with the Scheme and to adopt new articles of association setting out the rights attaching to the new Continuation
Shares.

    A summary of the new provisions proposed to be incorporated into the articles of association to reflect the issue of the Continuation
Shares is set out in both the Prospectus and the Circular.  The Circular will be posted to shareholders of the Company shortly.  The
Prospectus and the Circular have been forwarded to the Document Viewing Facility of the Financial Services Authority and will shortly be
available for inspection there at:

    Application has been made to the UK Listing Authority and to the London Stock Exchange for admission of the new Continuation Shares to
listing on the Official List and to trading on the main market of the London Stock Exchange. It is expected that the new Continuation Shares
will be issued, and admission will become effective, on 4 February 2009.
