Merger Clearance

The Secretary of State for Trade and Industry has decided, on the information at
present before her, and in accordance with the recommendation of the Director
General of Fair Trading, not to refer the following mergers to the Monopolies
and Mergers Commission under the provisions of the Fair Trading Act 1973:

Proposed acquisition by Citibank N.A. of certain assets of JP Morgan & Co Inc.,
namely its Global Trust and agency business

Acquisition by Derwent Valley Holdings Plc of assets of MEPC Plc

Proposed acquisition by Bankers Trust International Plc of the whole issued
capital of Wood Mackenzie Consultants Ltd and the European Cash Equities
business of National Westminster Bank Plc, Natwest Securities Ltd and Natwest
Securities France S.A.

Proposed acquisition by Clear Channel Communications Inc. of More Group Plc

Acquisition by Omnicom Group Inc of GGT Group Plc

Acquisition by Silentnight Holdings Plc of assets of the Spring Ram Corporation
Plc, namely the rest assured bedding business
