                               Change of Auditors


The Board of Dev Property Development plc (the "Company"), a company investing
in Indian real estate, today announces the appointment of Ernst & Young LLC as
Auditors to the Company.


The Company also wishes to announce that KPMG Audit LLP has accordingly resigned
as Auditors with effect from 21st September 2007 and confirmed to the Company
that there are no circumstances connected with their resignation which they
consider should be brought to the attention of members or creditors of the
Company. The Board would like to thank KPMG Audit LLP for their assistance since
inception.


Accordingly, Ernst & Young LLC will conduct the audit of the Company's accounts
for the year to 31 March 2008.
