      Absolute Capital Management Holdings Limited ("ACMH or the Company")

                       AGM Statement and Share Allotment


At the Annual General Meeting of ACMH held on Thursday 27 July 2006, the audited
financial statements for the year ended 31 December 2005 of the Company were
presented.

Following the acquisition of TCA Group by ACMH announced on 20 June 2006, the
2,500,000 initial consideration shares have been allotted.

The total number of shares in issue following this allotment is 53, 562, 500.
