Announcement relating to The Hospital Company (Dartford) Issuer PLC

The Hospital Company (Dartford) Issuer PLC has issued GBP152,525,000, 3.003 per cent. Index-Linked Guaranteed Secured Bonds due 2031 which are subject to a Collateral Deed dated 31 March 2003 (Collateral Deed).

On 15 January 2018 Carillion announced that Carillion PLC and Carillion Services Limited were being placed into liquidation.

Under the Collateral Deed, Carillion PLC is the Facilities Manager Guarantor and Carillion Services Limited is the Facilities Manager and both are Material Project Parties.

The Hospital Company (Dartford) Issuer PLC has taken advice and is in the process of taking the necessary steps to avoid Potential Event of Defaults under the Collateral Deed and the resulting consequences. This will involve replacing the Facilities Manager Guarantor and the Facilities Manager and in anticipation of the event a robust Contingency Plan had been drawn up and at Liquidation was successfully mobilised such that services on site continue undiminished. Further details of the additional steps to be taken and the proposed timing thereof will be published once finalised.
