Explanation of Responses:
(1)  The Reporting Person received these shares as consideration for the sale of the Reporting Person's ownership interest in REP Energy, LLC to the Company, pursuant to a Membership Interest Purchase Agreement dated as of November 1, 2017.
(2)  Does not include 84,378 shares held of record by Northeast Opco, LLC, of which the Reporting Person is an officer, owner and control person.
(3)  Options were granted to the Reporting Person pursuant to the Reporting Person's employment agreement with the Issuer for achieving certain performance metrics.
