Item 1.01 Entry into Material Definitive Agreement

The Company’s Form 8-K filed with the Commission on June 18, 2009 is hereby amended to correct a typographical error in the Stock Subscription Agreement between the Company and Min-Tan Yang dated June 17, 2009 filed as Exhibit 10.1 to the Form 8-K. No text in the main body of the Form 8-K is amended. The corrected Stock Subscription Agreement, as executed by the parties, is attached as Exhibit 10.1 to this Form 8-K/A.
