Item 8.01 Other Events

On November 18, 2019, a majority of stockholders of our company and or board of directors approved a reverse stock split of our issued and outstanding shares of common stock on a basis of up to one hundred and fifty (150) old shares for one (1) new share of common stock.

Articles of Amendment to our Articles of Incorporation will be filed with the Florida Secretary of State to effect the reverse split.

The amendment is currently being reviewed by the Financial Industry Regulatory Authority (“FINRA”). We will announce the completion of the FINRA review and the effectiveness of the amendment on the market by filing a Current Report on Form 8-K.
