Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective August 28, 2023, Charlotte’s Web Holdings, Inc. (the “Company”) appointed Sarah Cambridge as Chief Accounting Officer of the Company. Ms. Cambridge, age 36, joined the Company on July 25, 2022, as the Company’s Corporate Controller. Prior to joining the Company, Ms. Cambridge was employed at Plante & Moran PLLC from October 2018 to July 2022, where she served as Senior Manager and by EKS&H LLLP from 2009 to September 2018, where she served in various roles, including Manager.

There are no family relationships between Ms. Cambridge and any director or executive officer of the Company. The Company is not aware of any transaction in which Ms. Cambridge has an interest requiring disclosure under Item 404(a) of Regulation S-K. No contract or arrangement between Ms. Cambridge and the Company was executed in connection with her appointment.
