The debtor, Adrian Teuscher, is also a director and shareholder of Parta Dialogue Inc., and as such, is also an insider of Parta. Pursuant to the policies of the Exchange and Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions, the transaction is classified as a "related party transaction", and is exempted from valuation and shareholder approval requirements as the fair market value of the transaction does not exceed 25% of PARTA's market capitalization." Securities issued as part of this conversion of debt are subject to a hold period until March 2, 2012.
