Directors' shareholding


The Chepstow Racecourse PLC ("the Company") announces that it received yesterday
full details of  transfers  on 28 May 2003 of an aggregate of  515,552 ordinary
shares of  25p each in the Company from the account of Mr D John Deer & Mrs
Margaret E Deer to the account of Mr D John Deer.  The transfers were made by
way of a gift resulting in no gain or loss.  Mr D John Deer is a director of the
Company.
