ITEM 3.01 NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING.

On December 13, 2023, Regis Corporation (the “Company”) received a written notice (the “Notice”) from the staff of NYSE Regulation (the “Staff”) of the New York Stock Exchange (“NYSE”) indicating that the Staff had determined to commence proceedings to delist the common stock of the Company from the NYSE. The Notice indicated that the Staff reached its decision because the Company was unable to demonstrate that it had regained compliance with the applicable listing standard in Section 802.01B of the Listed Company Manual requiring listed companies to maintain either (i) at least $50 million in stockholders’ equity or (ii) at least $50 million in total market capitalization on a 30-trading day average basis.

The Company’s common stock has not been suspended from trading and is expected to continue to be listed and traded on the NYSE while any review remains pending. The Company will be appealing the Staff's decision within the required timing and looks forward to presenting its plan of compliance at the hearing. In the interim, the Company will continue to evaluate all available options for maintaining a listing of its common stock on a national securities exchange.

The Company has a right to request a review of the Staff’s determination by a Committee of the Board of Directors of the NYSE (the “Committee”). The NYSE would announce a suspension date at such time as (i) the Company does not request a review by the Committee within 10 business days of the Notice, (ii) the Company determines that it does not intend to appeal, (iii) the subsequent review of the Committee determines that the Company should be suspended, or (iv) there are other material developments. After any such suspension announcement, the NYSE would then apply to the Securities and Exchange Commission to delist the Company’s common stock. There can be no assurance of the outcome of any review by the Committee or that the NYSE will reconsider its decision to commence delisting proceedings against the Company in light of such review.
