These common units were owned directly by MGG Midstream Holdings, L.P., which was a member of a "group" for purposes of Section 13(d) of the Exchange Act including MGG Midstream Holdings GP, LLC, the general partner of MGG Midstream Holdings, L.P., and other direct and indirect owners of MGG Midstream Holdings, L.P. and MGG Midstream Holdings GP, LLC. The reporting persons distributed the common units to thier owners on a pro rata basis and are no longer members of a "group" for purposes of Section 13(d) of the Exchange Act.
