Item 7.01 Regulation FD Disclosure.

On October 29, 2019, Digital Realty Trust, Inc. (“DLR”) and InterXion Holding N.V. (“InterXion”) issued a joint press release announcing the execution of a purchase agreement by and among DLR and an indirect subsidiary of DLR (the “Buyer”), on the one hand, and InterXion, on the other hand, pursuant to which, subject to certain conditions, the Buyer will commence a tender offer to purchase all the outstanding ordinary shares of InterXion in exchange for shares of common stock of DLR.

On October 29, 2019, DLR also posted presentation materials related to the proposed transaction with InterXion to its website at www.digitalrealty.com. The presentation materials are attached hereto as Exhibit 99.1 and incorporated by reference herein.

The information in this Item 7.01 of this Current Report on Form 8-K, including the exhibits attached hereto, is furnished pursuant to Item 7.01 and shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Exchange Act, or otherwise subject to the liabilities of that Section.
