Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.

On June 30, 2019, Carol Folt, notified the Corporation of her resignation from
the Board of Directors (the Board of Directors) of Avangrid, Inc. (the Corporation), effective July 1, 2019, due to the time commitment and professional responsibilities associated with her new position as President of
the University of Southern California. Ms. Folts resignation was not the result of any disagreement with the Corporation or management.
At the
time of her resignation, Ms. Folt served as a member of the Audit and Compliance Committee of the Board of Directors. The Board of Directors and the Corporation thank Ms. Folt for her contributions to the Corporation and the Board of
Directors.
