On September 15, 2022, Claire Babineaux-Fontenot was named to
the Abbott Laboratories’ (“Abbott”) Board of Directors.
Item 5.03 Amendments
to Articles of Incorporation or Bylaws; Change in Fiscal
Year.
On September 15, 2022, Abbott’s Board of Directors amended the
first sentence of Article III, Section 2 of Abbott’s
by-laws to provide that Abbott’s Board of Directors shall consist
of thirteen persons, effective as of September 15, 2022.
Abbott’s by-laws previously provided that the Board of Directors
consisted of twelve persons.
