At the Annual Meeting of Shareholders of USA Technologies, Inc. (the “Company”) held on June 15, 2010, the Company’s shareholders elected each of the Company’s nominees for Class I, Class II and Class III directors, approved the USA Technologies, Inc. 2010 Stock Incentive Plan, and ratified the appointment of McGladrey & Pullen, LLP as the Company’s independent registered public accounting firm for the fiscal year ending June 30, 2010.
